COURSE SYNOPSIS

The accounting scandals of Enron, WorldCom, and Tyco have demonstrated that managerial decision-making almost always has ethical implications. This course will examine how values and principles shape the conduct of business in the development of our societies. Hence, it will focus on what businesses and professionals ought to engage in or not engage in rather than about how to stay out of jail. Nevertheless, legal implications too will be given due consideration.

COURSE OBJECTIVES

* To increase students understanding and mastery of major business ethical theories and good corporate governance

* To instill in students a moral, social and economic awareness as well as the role of philanthropy in business

* To enable students to practice good ethical values and business practices

* To reinforce students' personal sense of compassion and fairness to make the best decision for all parties concerned

* To provide students with opportunities to "practice" values integration and ethical reasoning processes via case discussions

At the end of the course, students would be able:

The coursework portion (40%) for this course will be divided into 3 components as follows:

(1) For the term paper (15%), students will be assigned into diverse groups and given a specific topic on some contemporary ethical or governance issue. Students are required to submit a detailed report at the end of week 12. Students must be able to articulate their findings and justify their recommendations of appropriate solutions to the ethical/governance issues raised.

(2) For case study & presentation/movie critique (15%) each group will be required to present the case given and to submit a report on the day of presentation. For the movie, each group is required to view the movies collectively and then post their views/opinions on the movies on the Course Compass blog.

(3) For the mid-semester test (10%), students will be tested on their knowledge and understanding of the ethical theories, general concepts of corporate social responsibility and good corporate governance practices. Mid-semester test usually takes 1.5 hours and is conducted in the middle of the semester. The final exam portion (60%) for this course entails the following:

A 3-hour exam paper consisting of 3 parts: (1) multiple choice/short questions to assess their knowledge and understanding of the general concepts and theories associated with business ethics and corporate governance, (2) case-related questions. This section would enable the instructor to evaluate students' diagnostic skills and (3) essay questions to assess students' knowledge and application of theories, concepts and justifications pertaining to business, governance and corporate social responsibility.
